These Terms of Service (“Terms”) govern your use of the websites, mobile applications and services (collectively, the “Services”) provided by Driven (Product) and Houdini Pte. Ltd. (Company), as defined below.

1. General
These Terms applies to all users of the Services, including without limitation users who are sellers, buyers, merchants, or contributors of content, information and other materials.

If you are accessing the Services from North or South America, these Terms are between you and Driven. If you are accessing the Services from elsewhere in the world, these Terms are between you and Driven. For ease of reference, each of Driven and Houdini Pte. Ltd. are referred to in these Terms as “Driven”.

By using the Services in any manner, including but not limited to visiting or browsing the Services, you agree to observe and be bound by these Terms and the additional terms and conditions and policies referenced herein and/or available by hyperlink.   

Driven reserves the right to change or modify these Terms at any time. You will be deemed to have agreed to the amended Terms by your continued use of the Services following the date on which the amended Terms are posted here. 

If you have any questions, please refer to the Help section of the Services. 

2. Use of the Services
Subject to your compliance with these Terms, Driven grants you a limited, non-exclusive, revocable (with or without cause), non-transferable right and license to use the Services. 

You shall use the Services in accordance with these Terms and shall not:

Upload any Content (as defined below) that violates or infringes another party’s rights of publicity, privacy, copyright, trademark or any other intellectual property right.
Copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, interfere with, or disrupt the integrity or the performance of the Services.
Make any modification, adaptation, improvement, enhancement, translation or derivative work from the Services.
Violate any applicable laws, rules or regulations in connection with your access or use of the Services.
Use the Services in violation of or to circumvent any sanctions or embargo.
Remove, alter or obscure any proprietary notice (including any notice of copyright and trademark) of Driven or its affiliates, partners, suppliers or licensors.
Use the Services for any purpose for which it is not designed or intended.
Use the Services to create or promote a product, service or software that is, directly or indirectly, competitive with or in any way a substitute for the Services or any services, product or software offered by Driven.
Use any proprietary information or interfaces of Driven or any other intellectual property of Driven in the design, development, manufacture, licensing or distribution of any application, accessories or devices for use with the Services.
Use the Services to send, post, or otherwise communicate any Content which is offensive, indecent, threatening, abusive, insulting, harassing, defamatory, libellous, deceptive, fraudulent, tortious, obscene, profane, invasive of another person’s privacy, or racially, ethnically or otherwise objectionable.
Use the Services to send automated, unsolicited or unauthorised messages, advertising or promotional material or any junk mail, spam or chain letters.
Upload to, or transmit through the Services any data, file, software or link that contains or redirects to a virus, Trojan horse, worm or other harmful components.
Use any scraper, robot, bot, spider, crawler or any other automated device or means to access, acquire, copy or monitor any portion of the Services, or any data or content found or access through the Services.
Collect any information in respect of other users without their consent.
Authorise or encourage anyone to do any of the foregoing.
3. Sell Function
You may purchase the right to list your car(s) in accordance with Driven’s prevailing listing and priority rules and charges, so as to list car(s) on the Driven Marketplace. 

You acknowledge and agree that:

Your listings may rise and fall in priority in relation to other users’ listings in accordance with Driven’s prevailing listing rules, formulae and algorithms
There will be no refunds in the event that: (i) your Account is suspended or terminated due to a breach of these Terms; and/or (ii) any Content has been removed in accordance with these Terms.
4. Account
You would need to have an account with Driven (“Account”) in order to use some parts of the Services. When you create an Account, you represent and warrant that:

If you are individual, you are at least 18 years of age.
If you are representing a company, organisation or any other legal entity (“Entity”), you have authority to bind the Entity to these Terms.
You are capable of entering into and performing legally binding contracts under applicable law.
All information which you provide is accurate, up to date, truthful and complete.
If you are under 18 years of age, you may only use the Services with the consent of and under the supervision of your parent or legal guardian who shall be responsible for all your activities.

You are responsible for all activities under your Account. You, therefore agree to:

Keep your password secure.
Keep your account information up to date at all times.
Comply with Driven’s policies and all applicable laws with respect to your activities and the Content which you upload to the Services.

You shall not set up multiple Accounts, or transfer or sell your Account or user ID to another party. You must not use another user's Account without their permission.

5. Driven is a Venue
The Services provide a venue for users to interact with each other, and to buy and sell items. Driven does not pre-screen a user or the Content provided by a user, nor is Driven directly involved in transactions between users. Consequently, Driven has no control over, and you agree that Driven is not responsible or liable for, any of the following:

The quality, safety, morality or legality of any aspect of the items listed.
The truth or accuracy of the listings, the ability of sellers to sell items or the ability of buyers to pay for items.
The true identity, age, nationality, or sense of humour of a user.
Any Content posted by users.
You are encouraged to use the features and functions available on the Services to communicate with other users and/or to find out more about an item which a user has put up for sale. However, please exercise common sense and good judgment in your interactions with other users. While Driven endeavours to keep the Services safe for everyone, your use of the Services and your interactions with other users is entirely at your own risk. 

6. Content
The Services allow users to creating listings and share content, such as photos, videos, comments, data, text, links and other information (“Content”). 

You retain ownership rights in the Content which you upload or share on the Services but you grant Driven a worldwide, fully-paid, royalty-free, sub-licensable, and transferrable licence to host, store, use, display, reproduce, modify, adapt, edit, publish and distribute such Content (subject to Driven’s Privacy Policy) for the purpose of operating, developing, providing, promoting, and improving the Services and to research and develop new products and services.

You understand and agree that you are solely responsible for the Content which you post or share on or through the Services and any loss or damage which you sustain as result of such Content is solely your responsibility.

You acknowledge that Driven does not pre-screen Content uploaded by users. Driven shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available on the Services. Without limiting the foregoing, Driven shall have the right to remove Content in any of the following events:

If the Content is in breach of these Terms.
If Driven has received a complaint or notice of infringement in respect of the Content.
If the Content is otherwise objectionable.
Driven may also block Content and the delivery of a communication (including, without limitation, feedback, postings, messages and/or chats) to or from the Services as part of efforts to protect the Services or users, or to otherwise enforce these Terms.

7. Selling and Buying on Driven
In using the Services to create a listing and offer an item for sale, you agree to comply with the following:

All items must comply with these Terms and Driven's policies, which can be found at http://www.sgdriven.com?open=terms-and-conditions
You must provide a fair, accurate and complete description of each item, including your price for the item.
Each item must have its own listing.
Your listing for an item may only include text, descriptions, graphics, images and other content relevant to the item.
All items must be listed in the appropriate category.
Without prejudice to the rest of these Terms and Driven’s policies, you warrant, in respect of each item which you offer for sale on the Services, that:                                                    

You are the owner of the item, and the item is not stolen.
The item is not counterfeit and does not infringe upon any third party's copyright, patent, trademark, trade secret or other proprietary or intellectual property rights.
The sale of the item complies with all laws and regulations which apply to that item.
The item is not dangerous, hazardous or subject to a recall by a government or manufacturer.
All offers made and accepted through the Services are binding. 

If you are a seller who has accepted a buyer’s offer for an item:

You agree to ship the item or otherwise complete the transaction with the buyer in a prompt manner unless there is an exceptional circumstance, for instance, if the buyer fails to meet the terms of your listing (such as payment method), or you cannot authenticate the buyer's identity.
You may charge reasonable shipping and handling fees to cover the costs for packaging and mailing the item. However, you must not charge excessive shipping fees or otherwise avoid fees.
You may not alter the item's price after a sale, or misrepresent the item's location and price.
If you are a buyer whose offer for an item has been accepted by a seller, you agree to make prompt payment to the seller for the item, unless there is an exceptional circumstance, for instance, if you are cannot authenticate the seller’s identity.

In communicating with a user through the Services for the purchase or sale of an item (“Transaction”), you may obtain personal information of that user, such as their email address, phone number and mailing address. Without obtaining prior permission of the user, you shall use such information solely for the purpose of the Transaction.

Notwithstanding the foregoing, as Driven is not involved in Transactions which are considered solely between users, Driven cannot ensure that a user (whether as a buyer or seller) would follow through and complete a Transaction.

8. Disputes with users
If you are in dispute with a user of our Services, you are encouraged to contact that user to resolve the situation amicably. If the dispute is notified to Driven, Driven will attempt in good faith to facilitate resolution of the dispute but is under no obligation to resolve the same. You release Driven from any claims, demands and damage arising out of your disputes with users of our Services.

9. Privacy
Your privacy is very important to us at Driven and we have provided the Driven Privacy Policy, which can be found at http://www.sgdriven.com?open=privacy-policy, to explain our privacy practices. Please review the Privacy Policy to understand how Driven collects, uses and discloses information collected and received from you.

10. Intellectual Property
You acknowledge and agree that the Services and all copyright, patents, trademarks, trade secrets and other intellectual property rights associated therewith are, and shall remain, the property of Driven. Furthermore, you acknowledge and agree that the source and object code of the Services and the format, directories, queries, algorithms, structure and organization of the Services are the intellectual property and proprietary and confidential information of Driven. You are not granted any intellectual property rights in and to the Services not expressly granted in these Terms and such rights are hereby reserved and retained by Driven.

The Services may utilise or include third party software that is subject to open source and third party licence terms (“Third Party Software”). You acknowledge and agree that your right to use such Third Party Software as part of the Services is subject to and governed by the terms and conditions of the open source and third party licenses applicable to such Third Party Software, including, without limitation, any applicable acknowledgements, licence terms and disclaimers contained therein. In the event of a conflict between these Terms and the terms of such open source or third party licences, the terms of the open source or third party licences shall prevail with regard to your use of the relevant third party software. In no event shall the Services or components thereof be deemed to be open source or publicly available software. 

You are not authorised by Driven to use Driven’s trademarks in any advertising, publicity or in any other commercial manner without the prior written consent of Driven, which may be withheld for any or no reason.

11. Reporting Unauthorised Content
Driven respects the intellectual property rights of others and we expect the same of our users. If you believe that there has been unauthorised use of your intellectual property rights by a user, email us at hello@sgdriven.com to report the same to us. 

Driven reserves the right to suspend or terminate your account and/or your access to the Services if there are repeat complaints against you of intellectual property infringement.  

12. Suspension and Termination
You may deactivate your Account at any time through the “Settings” section of your Account. 

Driven reserves the right to, at its sole discretion, and without liability:

Suspend or terminate your Account and/or your access to the Services at any time, for any reason, and without advance notice.
Change, modify, suspend or discontinue, whether temporarily or permanently, the whole or any part of the Services at any time, for any reason, and without advance notice.
You acknowledge and agree that if you deactivate your Account or if we suspend or terminate your Account, you will lose any information associated with your Account, including Content. It is your responsibility to backup the Content which you upload to the Services. 

Upon termination, all licenses and rights granted to you in these Terms will immediately cease.

13. No Warranty
You acknowledge and agree that the Services are provided on an “as is” and “as available” basis, and that your use of or reliance upon the Services and any content, products or services accessed or obtained thereby is at your sole risk and secretion. 

Driven does not represent or warrant that: (a) the use of the Services will be secure, timely, uninterrupted or error free or that they will be compatible or operate in combination with any other hardware, software, system or data; (b) the Services will meet your requirements or expectations; (c) errors or defects in the Services will be corrected; or (d) the Services and Driven’s servers are free of viruses or other harmful components.

All conditions, representations and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are hereby excluded and disclaimed to the fullest extent permitted under the law.

The Services may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications (including problems inherent to the computer or electronic device you use). Driven is not responsible for any delays, delivery failures, damages, or losses resulting from such problems.

No advice or information, whether oral or written, obtained by you from Driven or from the Services shall create any representation, warranty or guarantee. Furthermore, you acknowledge that Driven has no obligation to support or maintain the Services.

Driven disclaims any and all liability or responsibility in relation to the content made available through the Services, including but not limited to the Content uploaded by users or the third party content and services. Driven is not responsible or liable in any manner for the third party content and services associated with or utilized in connection with the Services, including the failure of such third party content and services.

14. Limitation of Liability


15. Indemnity
You will indemnify and hold harmless Driven, its subsidiaries, affiliates, partners, suppliers, licensors, shareholders, officers, employees, independent contractors and agents and all successors and/or assigns from and against any and all actions, claims, proceedings, damages, losses, costs and expenses resulting from: (a) your use of the Services; (b) your Content; (c) any use of your Account; (d) your breach of these Terms; (e) your breach of any statutory requirement, duty or law; or (f) your violation of any rights of another person or entity.

16. Compatibility
Driven does not warrant that the Services will be compatible or interoperable with your device or any other piece of hardware, software, equipment or device installed on or used in connection with your device. Furthermore, you acknowledge that compatibility and interoperability problems can cause the performance of your device to diminish or fail completely, and may result in permanent damage to your device, loss of data located on your device, and corruption of the software and files located on your device. You acknowledge and agree that Driven and its subsidiaries, affiliates, partners, suppliers and licensors shall have no liability to you for any losses suffered resulting from or arising in connection with compatibility or interoperability problems.

17. Miscellaneous
You and Driven are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms. 

If any provision of these Terms is held unenforceable, then such provision will be modified to reflect the parties' intention. All remaining provisions of these Terms shall remain in full force and effect. 

Except as provided herein, any failure by Driven to exercise a right or require performance of an obligation in these Terms shall not affect Driven’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach of these Terms constitute a waiver of any subsequent breach.

You shall not assign any rights or delegate any obligations herein without our prior written consent and any attempted assignment or delegation in contravention of this provision shall be null and void and of no force or effect.

These Terms constitute the entire agreement between you and Driven and supersedes all prior or contemporaneous understandings and/or agreements between you and Driven.

18. Governing Law and Jurisdiction
You hereby agree that the laws of Singapore shall govern this Terms and that the courts of Singapore shall have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Effective on June 1st, 2017
This Privacy Policy supplements our Terms of Service and explains how we handle information collected and received in the course of your use of our websites, mobile application and services (collectively, the “Services”). It also governs the collection, use and disclosure of your information. 

1. Introduction
We love our community at Driven. It is extremely important to us that you not only have a pleasant experience buying and selling on Driven, but also that you feel comfortable and safe while doing so. 

2. Information we collect and receive
We may collect and receive information from you in the following situations:

When you register for an account with us (“Account”).
When you choose to connect your Account with an external third party service or application, such as Facebook.
When you use the features and functions available on our Services, for example, by creating listings, interacting with other users through our chat feature, or transacting with other users.
If you contact us, for example, with a query or to report a problem.
You are under no obligation to provide the information to us. However, if you choose to withhold the information or to revoke permission for us to receive the information, we may be unable to provide certain aspects of our Services to you. 

By providing us with any information relating to a third party (e.g. information of your spouse, children, parents, and/or employees), you represent to us that you have obtained the consent of the third party to provide us with their information for the respective purposes.

3. Your interactions with others
Our Services offer features which allow users to connect and communicate in groups which are public or semi-public, and to share information with each other to complete a transaction. Please use common sense and exercise good judgement when sharing information in these groups or with others. We generally do not monitor or remove the information which you share and such information may remain available on our Services after your Account has been deactivated, terminated or is otherwise closed. You are responsible for the information you choose to share in these groups or with other users.

4. How we use the information we collect
We may use the information collected and received from you for the following purposes:

To verify your identity, update our records and generally maintain your Account with us.
Provide our Services and customise the content shown to you.
Develop, operate, improve, deliver and maintain our Services.
Responding to your queries and resolving complaints.
Carry out polls, surveys, analysis and research on how our Services are being used and how we can improve them.
To update you on your listings and our Services (e.g. new offers, new chats, new feedback, new comments). These updates will be sent by email and/or through push notifications and you can choose to unsubscribe from these updates at any time through the “Settings” page of your Account.
To send you marketing and/or promotional materials on the latest products and services of Driven or carefully selected third parties. These updates will be sent by email and/or through push notifications and you can choose to unsubscribe from these updates through the “Settings” page of your Account. These updates may also be communicated to you through text messages and/or voice calls if you have indicated that you wish to receive such updates through these methods.
To send you service-related messages including, without limitation, a welcome/confirmation email when you register your Account and to enforce our Terms of Service and other policies. These messages are not promotional in nature. These messages will be sent by email and/or through push notifications and you may not opt-out of receiving service-related messages from Driven, unless you deactivate your account. 
 Perform functions or services as otherwise notified to you at the time of collection.
5. Who we share your information with
We may share information about you in the following ways:

When you register for an Account, the information which you make available on your profile may be viewed by other users of our Services. Other users of our Services would also be able to view the content which you upload and share on our Services.
We may share the information with our affiliates and with third party service providers who assist us in performing certain aspects of our Services on our behalf, such as processing transactions, fulfilling requests for information, receiving and sending communications, updating marketing lists, analysing data, providing support services or in other tasks. Such service providers will only have access to your personal information to the extent necessary to perform their functions.
We may share the information with our potential partners, investors and other parties with a view to a potential business partnership, collaboration, joint venture or otherwise in furtherance of our business.
We may disclose your personal information if required to do so by law or if we believe that such action is necessary to prevent fraud or crime or to protect our Services or the rights, property or personal safety of any person.
We respect your privacy and we will not sell your personal information to any third party. We may disclose data and aggregate statistics about users of our Services and sales to prospective partners, advertisers, sponsors and other reputable third parties in order to describe our Services, deliver targeted advertisements or for other lawful purposes, but these data and statistics will not include information which can be used to identify you.

6. Transfer of information
By using our Services, you authorise us to use your information in Singapore, the United States, Taiwan and other countries where Driven operates for the purposes mentioned above. We will ensure that your information is transferred in accordance with this Privacy Policy and protected in accordance with applicable laws on personal data protection (including, but not limited to, the Personal Data Protection Act 2012 of Singapore).

7. Protecting your information
The security of your information is important to us. We have security measures in place to protect against the loss, misuse and alteration of information under our control.  We also follow generally accepted industry standards to protect the information transmitted to us over the Internet, both during transmission and once we receive it. Sensitive information (such as credit card numbers) are encrypted using secure socket layer technology (SSL). However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your information, we cannot guarantee its absolute security. 

It is important that you protect against unauthorised access of your Account and information by choosing your password carefully, and keeping your password and Account secure (e.g. by signing out after using our Services).

8. Accessing and updating your information
You may access and update your information within our Services through the “Settings” page of your Account. 

Where you provide personal information about yourself to us, you are responsible for providing accurate, not misleading, complete and up-to-date information about yourself and any other person whose personal information you provide us, and to update this personal information as and when it becomes inaccurate, misleading, incomplete or out-of-date. 

In certain circumstances, you may need to provide to us personal information about someone other than yourself. If so, we rely on you to inform these individuals that you are providing their personal information to Driven, to make sure they consent to you giving us their information and to advise them about where they can find a copy of this Privacy Policy.

If you wish to:              

(a) apply for a copy of the information we hold about you; or 

(b) withdraw consent you previously provided to us to use, collect or disclose the information we hold about you,  

please contact our Personal Data Protection Officer at the contact details set out in Section 12 below. Please allow us a reasonable period of time to respond to any request and effect any change. We may ask to verify your identity and for more information about your request. Where we are legally permitted to do so, we may refuse your request and may give you reasons for doing so.  

Where you have requested for a copy of the information we hold about you, we may charge a reasonable administrative fee to cover the costs of responding to your request. If we decide to do so, we will provide you with a written estimate of such fee beforehand

9. Tracking technologies
We use tracking technologies on our Services.These enable us to understand how you use our Services which, in turn, helps us to provide and improve our Services. However, the tracking technologies do not access, receive or collect information which can be used to identify you. We have listed below some examples of the tracking technologies used on our Services:

If you wish to:              

(a) apply for a copy of the information we hold about you; or 

(b) withdraw consent you previously provided to us to use, collect or disclose the information we hold about you,  

please contact our Personal Data Protection Officer at the contact details set out in Section 12 below. Please allow us a reasonable period of time to respond to any request and effect any change. We may ask to verify your identity and for more information about your request. Where we are legally permitted to do so, we may refuse your request and may give you reasons for doing so.  

Where you have requested for a copy of the information we hold about you, we may charge a reasonable administrative fee to cover the costs of responding to your request. If we decide to do so, we will provide you with a written estimate of such fee beforehand

Cookies. A cookie is a small data file sent from a website to your browser that is stored on your device. Cookies are used for a number of purposes, including to display the most appropriate content based on your interests and activity on our Services, estimate and report our Service's total audience size and traffic, and conduct research to improve our Services. You can configure your device's settings to reflect your preference to accept or reject cookies. If you reject all cookies, you will not be able to take full advantage of our Services.
Clear gifs. We employ a software technology called clear gifs (a.k.a. web beacons or web bugs) to help us better manage content on our Services by informing us what content is effective. Clear gifs are tiny graphics with a unique identifier similar in function to cookies, and are used to track the online movements of web users. In contrast to cookies, which are stored on a user's computer hard drive, clear gifs are embedded invisibly on web pages and are about the size of the period at the end of this sentence.
Flash cookies. We use Flash cookies (a.k.a local shared objects or LSOs) to store some of your viewing preferences on our Services. These are used to collect and store information, but differ from browser cookies in the amount, type and manner in which data is stored.
10. Changes to this Privacy Policy
We reserve the right to make changes to this Privacy Policy at any time and all changes will be posted here. If we believe that the changes are material, we will notify you of the changes by posting a notice on our Services or by email. You are responsible for reviewing the changes which we make this Privacy Policy. Your continued use of our Services constitutes your acceptance of the updated Privacy Policy.

11. Third party sites and resources
Our Services may, from time to time, contain links to external sites or resources which are operated by third parties. We have no control over the content and privacy practices of such sites or resources. You are advised to review the privacy policies of these sites and resources operated by third parties and understand how your information may be used by those third parties.
